This Private Membership Agreement (“Agreement”) establishes the terms under which the undersigned applicant (“Member,” “I,” “me,” or “my”) voluntarily applies for and accepts membership in the BaxStar Private Membership Association, referred to in this Agreement as the “Association.”

By electronically signing this Agreement, I voluntarily request membership in the Association and acknowledge and agree to the following Declaration, Membership Terms, and Memorandum of Understanding.

1. PURPOSE OF THE ASSOCIATION

The Association is a private membership community organized to provide its members with access to information, education, products, technologies, services, member benefits, wellness resources, and other offerings that may be made available from time to time.

The Association supports individual freedom of choice concerning wellness, lifestyle, health education, and the products, technologies, services, and professionals a Member may independently choose to consider or utilize.

The Association’s mission includes promoting education concerning wellness, longevity, recovery, lifestyle, and emerging technologies while providing members with access to an expanding private member ecosystem.

Membership is voluntary.

2. FREE PRIVATE MEMBERSHIP

I understand that I am applying for the BaxStar FREE Private Membership.

There is no charge to establish this membership.

No purchase is required to become a FREE Member.

My FREE membership establishes my membership relationship with the Association and may provide access to portions of the BaxStar member ecosystem.

The Association may separately offer optional paid membership levels, products, services, technologies, consultations, programs, subscriptions, or other benefits.

Joining the FREE membership does not obligate me to purchase a paid membership or any other product or service.

3. MEMBER-ONLY ACCESS

I understand that certain BaxStar information may be reserved for members, including, where applicable:

Member product catalogs
Member pricing
Wellness technologies
Educational materials
Member programs
Wellness analysis services
AI wellness resources
Recovery and longevity technologies
TeleHealth access
Scheduling and consultations
Member benefits
Advanced membership opportunities; and
Other products or services offered through the member ecosystem.

I understand that becoming a FREE Member does not automatically establish my eligibility to purchase, receive, use, or participate in every product, technology, service, medication, program, or benefit displayed within the member environment.

Additional requirements may apply.

4. MEMBERSHIP IS NOT MEDICAL AUTHORIZATION

I understand that membership in the Association, by itself:

Does not constitute medical care
Does not create a physician-patient relationship
Does not constitute a prescription
Does not constitute medical authorization
Does not establish that any particular product or technology is appropriate for me
Does not authorize an individual to prescribe, dispense, administer, manufacture, distribute, or otherwise provide a regulated product or service contrary to applicable requirements; and
Does not replace any professional consultation, prescription, consent, screening, or other requirement that may apply to a particular service or product.

Where a product or service requires involvement of an appropriately licensed healthcare professional, pharmacy, facility, or other authorized provider, those requirements remain separate from this membership.

5. WELLNESS AND EDUCATIONAL INFORMATION

I understand that general wellness and educational information provided through the Association is intended for informational and educational purposes.

Unless expressly identified otherwise in connection with services provided by an appropriately licensed healthcare professional, Association educational materials are not intended to independently diagnose, treat, cure, or prevent disease and are not a substitute for individualized professional medical advice.

I remain responsible for deciding whether to seek professional advice concerning my individual circumstances.

6. ADVANCED AND EMERGING TECHNOLOGIES

I understand that the member ecosystem may contain information about established, emerging, innovative, investigational, experimental, or otherwise advanced technologies, products, services, and wellness approaches.

Membership does not represent a warranty or guarantee concerning the regulatory status, effectiveness, suitability, availability, or outcome of any particular product, technology, or service.

Where additional disclosures, acknowledgments, informed consent, assumption-of-risk documents, technology waivers, professional consultations, prescriptions, or other requirements apply, I understand that I may be required to complete them separately before receiving or participating in the applicable product or service.

7. TECHNOLOGY WAIVERS ARE SEPARATE

I understand that this Private Membership Agreement is not a substitute for a technology-specific waiver or informed-consent document.

Certain BaxStar technologies, demonstrations, services, or experiences may require an additional:

Technology Waiver
Assumption of Risk
Informed Consent
Health Intake
Eligibility Screening
or other acknowledgment before participation.

I agree that completion of my FREE membership does not constitute completion of those additional documents.

8. TELEHEALTH, PRESCRIPTION PRODUCTS AND MEDICAL SERVICES

I understand that certain member offerings may involve independent licensed healthcare professionals, TeleHealth services, pharmacies, prescription products, compounded products, or other services subject to separate professional or regulatory requirements.

Access to information about such services through my membership does not guarantee eligibility or access.

Where applicable, I may be required to complete separate registration, health information, consultation, consent, identity verification, professional evaluation, prescription, payment, or other requirements before receiving those services or products.

Decisions regarding medical eligibility, prescribing, dispensing, or treatment remain with the appropriately authorized healthcare professional or entity responsible for those services.

9. PERSONAL RESPONSIBILITY AND INFORMED CHOICE

Participation in the Association is voluntary.

I understand that products, technologies, services, wellness programs, and other member offerings may involve different benefits, limitations, contraindications, uncertainties, and risks.

I agree that I am responsible for reviewing information provided to me and asking questions before voluntarily choosing to purchase or participate in a particular offering.

No particular outcome or result is guaranteed by membership.

10. MEMBER ACCOUNT AND PRIVATE ACCESS

My membership account is personal to me.

I agree to provide accurate information when creating and maintaining my account.

I am responsible for maintaining the confidentiality of my username, password, verification credentials, and other account-access information.

I will not knowingly provide another person unauthorized access to my member account.

The Association may suspend, restrict, or terminate access for misuse, fraudulent activity, violation of applicable membership terms, or other conduct inconsistent with the Association’s rules.

11. MEMBER PRIVACY AND CONFIDENTIALITY

The Association will handle information submitted through the website and membership platform according to its applicable Privacy Policy and other privacy notices presented in connection with particular services.

I understand that different privacy requirements may apply when I separately engage a healthcare professional, TeleHealth provider, pharmacy, laboratory, or other third-party provider.

I understand that membership does not prevent disclosure of information when disclosure is required or permitted by applicable law.

12. WEBSITE TERMS AND POLICIES

My membership and use of the BaxStar member platform may also be subject to applicable:

Website Terms & Conditions
Privacy Policy
Refund/Cancellation Policies
Shipping Policies
TeleHealth Terms
Product-Specific Terms
and other policies clearly presented in connection with the applicable service.

Where a separate transaction requires additional affirmative consent, that consent will be obtained separately.

13. OPTIONAL PAID MEMBERSHIP LEVELS

After establishing my FREE membership, I may be offered optional paid membership levels.

Paid memberships may provide additional benefits beyond the FREE membership.

Any recurring paid membership will be presented separately with its applicable:

Price
Billing frequency
Included benefits
Renewal terms
Cancellation terms; and
Other material conditions.

I will not be enrolled into a paid membership merely by accepting this FREE Membership Agreement.

Separate affirmative authorization will be required before charging me for an optional paid membership.

14. ELECTRONIC RECORDS AND ELECTRONIC SIGNATURE

I consent to conducting this membership transaction electronically.

I agree that my electronic signature, typed signature, digital signature, electronic acceptance, or other legally recognized electronic method used to execute this Agreement is intended to constitute my signature to the same extent as a handwritten signature, subject to applicable law.

I consent to receiving and retaining this Agreement electronically.

I understand that I may print or save a copy of this Agreement for my records.

The Association may maintain electronic records relating to my acceptance of this Agreement.

15. ELECTRONIC AGREEMENT AUDIT RECORD

For purposes of documenting membership enrollment and agreement acceptance, the Association may maintain an electronic audit record containing information such as:

Enrollment record: Member identity, agreement version, acceptance date/time, electronic signature and acknowledgment results are captured through the BaxStar ONE registration process. Nothing is entered on this read-only page.

The electronic audit record may also document each affirmative acknowledgment selected by the Member.

16. REQUIRED MEMBERSHIP ACKNOWLEDGMENTS

THE FOLLOWING ACKNOWLEDGMENTS MUST BE INDIVIDUALLY SELECTED BY THE APPLICANT. THEY SHOULD NOT BE PRE-SELECTED.

These selections are made on the registration form. They are shown here so you can review them before you return to the form.

PRIVATE MEMBERSHIP AGREEMENTI voluntarily apply for BaxStar FREE Private Membership. I acknowledge that I have been provided access to this Private Membership Agreement, have had the opportunity to review it, and agree to its terms.

MEMBER-ONLY ACCESSI understand that certain products, services, technologies, pricing, educational materials, consultations, and other benefits may be available through the private member environment and may have additional eligibility or participation requirements.

WELLNESS & MEDICAL DISCLAIMERI understand that membership itself does not constitute medical care, establish a physician-patient relationship, provide a prescription, or guarantee eligibility for any particular medical product, technology, or service.

ADDITIONAL CONSENTSI understand that particular technologies, services, TeleHealth offerings, prescription products, or other advanced offerings may require additional waivers, informed consent, professional evaluation, prescriptions, or other requirements before I may participate or receive them.

ELECTRONIC SIGNATURE & RECORDSI consent to the use of electronic records and electronic signatures in connection with my membership and acknowledge that my electronic acceptance is intended to evidence my agreement.

WEBSITE TERMS & PRIVACYI acknowledge that I have been provided access to the applicable Website Terms & Conditions and Privacy Policy and agree to the terms applicable to my membership and use of the member platform.

17. APPLICANT CERTIFICATION

By signing below, I certify that:

I am voluntarily requesting membership
The information I have provided for membership enrollment is accurate to the best of my knowledge
I have been given access to this Agreement before accepting it
I have had the opportunity to review the Agreement
I understand that my initial BaxStar FREE membership costs $0.00
I understand that no purchase is required to establish the FREE membership
I understand that additional products, services, technologies, and paid membership levels may carry separate charges and requirements; and
I voluntarily agree to the terms of this Agreement.

Electronic signature: Your full legal name and electronic signature are entered on the BaxStar ONE registration form. This agreement page does not collect information.

Separate Optional Media & Testimonial Authorization

THIS SECTION IS OPTIONAL AND IS NOT A CONDITION OF MEMBERSHIP.

My decision regarding this authorization will not affect my eligibility for FREE membership or ordinary member access.

The source agreement states that media/testimonial authorization is optional and is not a condition of membership. It is not collected on this required legal review page.
